1. Agreement to Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and JMP Administrative Management LLC, an Oregon registered limited liability company operating as JMP Dynamic Solutions (“JMPDS,” “we,” “us,” or “our”). By accessing jmpdynamicsolutions.com (the “Site”) or engaging our consulting services, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use the Site or engage our services.
2. Services
JMP Dynamic Solutions provides marketing consulting, systems development, content operations, lead generation infrastructure, compliance education content, CRM architecture, and related services (collectively, “Services”) to businesses operating in regulated and non-regulated industries.
Services are delivered primarily remotely. In-person consultations may be arranged on a case-by-case basis at a mutually agreed location. JMPDS does not maintain a public office.
The specific scope, deliverables, timeline, and fees for any consulting engagement will be outlined in a separate Statement of Work, Consulting Agreement, or written proposal agreed upon by both parties prior to commencement of work.
3. Consulting Engagements
Engagement terms: All consulting engagements are governed by the written agreement or proposal accepted by the client. In the absence of a separate written agreement, these Terms govern the engagement.
Project-based work: For fixed-scope projects, fees are as outlined in the applicable proposal. A deposit of 50% is required prior to commencement of work unless otherwise agreed in writing. The remaining balance is due upon completion and delivery of the agreed deliverables.
Retainer arrangements: Monthly retainer engagements are billed in advance on the first of each month. Retainers are non-refundable once the billing period has commenced.
Hourly consulting: Where work is billed on an hourly basis, the applicable rate will be agreed in writing prior to commencement. Invoices are issued monthly for hours worked in the prior month and are due within 14 days of invoice date.
Changes to scope: Any changes to agreed project scope must be documented in writing and may result in additional fees and timeline adjustments. JMPDS will provide a written change order for client approval before proceeding with out-of-scope work.
4. Payment Terms
Accepted payment methods: JMPDS accepts payment via credit card (Visa, Mastercard, American Express), PayPal, and other payment methods as specified at time of engagement.
Late payment: Invoices not paid within 30 days of the due date are subject to a late fee of 1.5% per month on the outstanding balance. JMPDS reserves the right to suspend services for accounts with outstanding balances exceeding 30 days.
Disputed invoices: If you dispute any portion of an invoice, you must notify us in writing within 7 days of receipt. Undisputed portions of any invoice remain due on the original payment schedule.
Taxes: You are responsible for all applicable taxes, duties, and charges associated with your purchase of Services. JMPDS will collect and remit applicable taxes where required by law.
5. Intellectual Property
Client-owned materials: Upon receipt of full payment for a consulting engagement, all custom deliverables created specifically for the client and outlined in the applicable agreement become the property of the client.
JMPDS proprietary materials: JMPDS retains ownership of all frameworks, methodologies, templates, systems, processes, and tools developed by JMPDS that are incorporated into client deliverables. JMPDS grants clients a non-exclusive, non-transferable license to use such materials for their internal business purposes.
White-label licensing: Where JMPDS systems or frameworks are licensed to third parties under a white-label arrangement, the terms of that license are governed by a separate written licensing agreement.
Site content: All content on the Site including text, graphics, logos, and design elements is owned by JMP Administrative Management LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our express written permission.
6. Confidentiality
Both parties agree to maintain the confidentiality of the other party’s proprietary and confidential business information disclosed during the course of an engagement. This obligation survives the termination of any consulting relationship.
JMPDS may reference the existence of a client relationship and general nature of services provided for marketing and portfolio purposes unless the client requests otherwise in writing.
7. Representations and Warranties
Client representations: By engaging our Services, you represent and warrant that you have the authority to enter into this agreement, that you will provide accurate and complete information necessary for the delivery of Services, and that your use of our deliverables will comply with all applicable laws and regulations.
JMPDS representations: We represent that we will perform Services with reasonable skill and care consistent with industry standards. We do not warrant that our Services will achieve any specific business outcome, revenue target, or regulatory compliance result, as these depend on factors outside our control.
8. Compliance Disclaimer
JMPDS provides compliance-informed marketing services and compliance education content. Nothing in our Services constitutes legal advice, regulatory compliance certification, or a guarantee of regulatory approval. Clients are solely responsible for ensuring their business operations comply with all applicable federal, state, and local laws and regulations. JMPDS strongly recommends that clients consult qualified legal counsel for jurisdiction-specific compliance requirements.
9. Limitation of Liability
To the maximum extent permitted by applicable law, JMP Administrative Management LLC and its principals, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Site or Services, including but not limited to lost profits, lost revenue, lost data, or business interruption.
Our total liability to you for any claim arising from or related to our Services shall not exceed the total fees paid by you to JMPDS in the three months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless JMP Administrative Management LLC and its principals, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of our Services, your violation of these Terms, or your violation of any applicable law or third-party rights.
11. Termination
By client: You may terminate a consulting engagement at any time with 14 days written notice. Fees for work completed through the termination date are due and payable. Deposits and retainer fees already paid are non-refundable.
By JMPDS: We reserve the right to terminate any engagement immediately for cause, including non-payment, breach of these Terms, or conduct that we determine in our sole discretion to be harmful to our business or reputation. In such cases, fees for work completed to date are due and payable.
Effect of termination: Upon termination, each party shall return or destroy the other party’s confidential materials. Client shall receive all completed deliverables for which payment has been received.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Oregon, without regard to its conflict of law provisions. Any dispute arising from these Terms or our Services shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in Portland, Oregon under the rules of the American Arbitration Association.
13. Affiliate Relationships
JMPDS may receive compensation for referrals to third-party products and services. Where JMPDS acts as an affiliate or referral partner, this relationship will be disclosed in accordance with FTC guidelines. Such compensation does not affect the integrity of our consulting recommendations.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the effective date on this page. Your continued use of the Site or Services after any modification constitutes acceptance of the updated Terms.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16. Entire Agreement
These Terms, together with any applicable Statement of Work, Consulting Agreement, or written proposal, constitute the entire agreement between you and JMP Administrative Management LLC with respect to the subject matter herein and supersede all prior agreements and understandings.
